Associate Counsel The candidate will provide legal support to all levels of firm and its sponsored funds. Will negotiate, draft, and review complex legal contracts and other documents related to Broadstone’s and its sponsored funds’ businesses. Provide legal support and services in a variety of areas, including, but not limited to, transactions, private equity investments, securities offerings, regulatory matters, and general corporate matters. Assist the General Counsel with the development and implementation of department policies, procedures and best practices, including contract and litigation management. Conduct due diligence on proposed transactions, counterparties, and certain potential investment opportunities. Assist with general legal and regulatory matters and work closely with compliance, administration, and accounting teams. Conduct legal research with respect to emerging legal or regulatory issues, new laws or regulations; develop work plans and policies and procedures to operationalize compliance with such laws and regulations. Assist with the preparation of materials for Board of Directors’ meetings and other corporate governance matters, including drafting and managing policies, procedures, and board minutes, resolutions, and consents. Assist with the preparation of certain regulatory filings. Consult with internal business, administration, tax, accounting, finance, and marketing team. Stay informed about changes and developments in the business, applicable law, and best practices. Prioritize and manage multiple projects simultaneously, and follow through on issues in a timely manner. Additional duties as required . Must have 4-6 years of experience and be a corporate generalist with some experience in a wide range of corporate matters, including contract review and negotiation, mergers and acquisitions, private equity, investment funds, securities offerings, financings, and general business and corporate matters. Must have strong communication and presentation skills. Interest in legal and compliance subject matter and willingness to learn and think creatively is essential.Experienced information gathering, information monitoring, and decision-making skills is essential. Excellent verbal and written communication skills with the ability to communicate and present complex information succinctly is essential. Bachelor’s degree from a four-year accredited college or university is required. Juris Doctor (JD) degree from an accredited law school is required. License to practice law in New York is essential. Must have 4-6 years’ experience. High level proficiency Microsoft Office, including Word, Excel, PowerPoint and Outlook is essential.
