Associate General Counsel II - Commercial Transactions The candidate will provide the firm with specialized expertise in commercial transactions. Will support the General Counsel by managing a comprehensive range of contract matters for the firm by structuring, drafting, reviewing and negotiating a broad range of commercial agreements including benefits, banking, insurance, technology, software, hardware, services, cloud computing. Assess and mitigate legal risks of firm activities. Use seasoned judgment to identify and assess potential liability to the firm, its affiliates, and its associates, and communicates effectively with senior executives and leaders. Work with and advise the business directly, as well as providing guidance and practical solutions for various policies. Resolve complex and non-routine issues that require independent thought. Lead changes to procedures and processes. Provide thought leadership, guidance and assistance on legal matters to senior executives and leaders. Communicate and interact with associates at all levels of the firm including general partners, Management Committee members and Executive Committee members. May delegate, direct and provide feedback to other attorneys and paralegals in the firm. Represent the firm to outside and opposing counsel. Manage external attorneys responsible for providing legal and regulatory advice to the firm. Manage a work load is large, diverse and complex.
Qualification and Experience
The candidate should have JD degree and license to practice in Missouri or an equivalent state. Must have 5-10 years of progressive responsibility as an attorney in private practice, in the public sector or in an in-house counsel capacity. Should preferably have 5 years of experience in commercial transactions. Extensive knowledge of the business functions and legal implications of commercial transactions and related matters is preferred. Experience in the securities industry preferred.
