Senior Corporate Counsel
The candidate help support the Company as it continues to move forward with commercialization of its first approved drug. Reporting to the General Counsel, the Senior Corporate Counsel will provide legal transaction support to the Company’s various departments. This position requires in house experience providing risk assessments and legal counsel regarding commercial transactions. Moreover, will thrive in a fast-paced, entrepreneurial environment where he/she will have the responsibility to build collaborative relationships with various business partners across the Company. Must exhibit uncompromising ethics, excellent communication and counseling skills, and sound judgment to effectively advise about legal risk while providing practical solutions in order for the Company to achieve its business objectives. Draft, review, revise, and negotiate a wide range of transactional agreements for the Company which may include various vendor services agreements, master agreements, clinical research agreements, clinical CRO agreements, manufacturing and supply agreements, consulting agreements, confidentiality agreements materials transfer agreements, advisory board agreements, change orders, task orders, license agreements, and software licenses. Review clinical trial-related documents such as informed consent forms, general legal correspondence, and other legal documents as needed. Define risks and clearly communicate and explain those risks to appropriate internal decision-makers for discussion and resolution. Interact with various internal clients and functional groups to effectively address legal and business questions and provide advice and guidance as well as practical solutions. Manage and build client relationships collaboratively and partner successfully to understand and support client needs. Provide legal support for intracompany agreements/initiatives and global harmonization projects with respect to updates of policies, procedures and agreement templates. Advise on implementation and interpretation of terms and conditions of existing agreements. Work cross functionally with various departments to resolve issues related to contracting and support cross-functional initiatives. Follow department processes to maintain transparency of legal review/negotiation of contracts for internal clients as well as status of current contracts. Mentor and provide training to the more junior members of the legal team. Handle a variety of projects on an as needed basis under direction of the General Counsel.

Qualification and Experience

The candidate should have completed J.D., Graduation from an accredited law school. Admission to a U.S. state bar (preferably CA) and active license to practice law required. Experience: 10 years of experience with a law firm that has a nationally recognized FDA/life sciences practice and/or equivalent experience as a member of a biotechnology or pharmaceutical company’s legal department. Experience with life sciences transactions strongly preferred (especially in the areas of contracting with clinical contract research organizations, global clinical sites, and vendors supporting the commercial organization). Experience at a pharmaceutical or biotechnology company strongly preferred. Should have excellent verbal and written communication skills, must be an effective communicator with strong interpersonal skills. Must have excellent organizational (detail oriented) and problem-solving skills. Should have strong analytical skills and the ability to apply facts to the applicable legal framework. Must have proven ability to work in a team setting and also within a global organization. Should have ability to handle multiple tasks, prioritize appropriately and adapt quickly to new situations, and offer creative solutions to challenging problems. Should have strong computer skills (e.g., Microsoft Office Suite (Word, Exel, PowerPoint, etc.)), Workshare, experience with document management systems, Veeva, DocuSign, Internet).
