ProfileSenior Paralegal - Contracts Responsibilities: Preparing, reviewing, drafting, and negotiating, across all of the companies, NDAs, co-op marketing/production agreements, on-air guest agreements, permanent placement agreements, master services agreements, creative services agreements, location licenses, remote shoots, list rental agreements, and a large range of other third-party service agreements, independently, with minimal oversight. Review and become familiar with company's standard purchase agreements (Master Terms & Conditions) and different purchasing arrangements (e.g., Traditional versus Drop Ship). Interface with the Finance, Supply Chain, and Risk Management departments to ensure that vendors satisfy all of accounting, operational, and insurance requirements. Establish, maintain, process, and/or oversee files, correspondence, contract management database, records, certificates, and/or other documents for all vendor purchase agreements and other executed contracts. Conduct quarterly training of new Merchandising personnel on vendor setup process. Assisting and guiding all levels of the business during the negotiation process for agreements managed by the Senior Legal Administrator - Contracts and in the assessment of risk relating to contract provisions and to changes requested to such provisions. Communicating professionally with all company vendors, including their senior executives, in regards to contract matters. Responding to internal and external questions on contract language and interpretation. Preparing/reviewing documents (including redlining changes and accepting tracked changes) and correspondence requiring knowledge of legal and business terminology. Working closely with Finance and Risk Management departments to ensure that our companies are protected from financial and legal risk and that our vendors satisfy all of accounting and insurance requirements. Assisting in special projects as needed (e.g., M&A), providing research, reporting, and such other tasks as required in support of such special projects.
Qualification and Experience
Qualifications: Bachelorâ€™s degree in Business/Legal field. 5+ years contract-related experience, and/or previous transactional paralegal work. Ability to multitask in a fast-paced environment and to meet critical timelines. Strong organizational skills and ability to perform drafting and review of documents with excellent accuracy and attention to detail, with a strong sense of responsibility and follow-through. Strong interpersonal and communications skills. Ability to work both within a team environment and partner effectively with colleagues from other departments. Able to work with minimal supervision and be responsible for prioritizing own daily workflow based on business needs and deadlines. Ability to maintain confidentiality of negotiations and key deal points being discussed with high-profile brands, celebrities, and companies. Competent in Word, Excel, PowerPoint, and Outlook. Knowledge of Imagenow a plus. Nice to Haves: Paralegal degree or certification. Some knowledge of the retail industry or familiarity with media and digital marketing businesses. Service-oriented approach.
