Senior Corporate Counsel
Responsibilities: Provide legal advice and counsel, and legal interpretation, to management on a wide range of legal matters, including corporate governance, capital raising and strategic planning. Provide legal advice and counsel relating to the transition from a small private company to a large private or public company. Assist in management of reporting to the Board of Directors, Investors, and other interested parties. Create and manage private placement offering documents. Create and manage public company filings and disclosures. Assist in the development of corporate legal activities, including the creation of policies, procedures and programs, including those applicable to public companies. Oversee the drafting, review and approval of company agreements, including key agreements relating to customers, partnership arrangements, suppliers and vendors, payers, distributors, licensing, and employment. Support strategic activities including ventures, acquisitions or other significant transactions—from the earliest stages in the process, through due diligence, preparation of deal terms, to closing and post-deal integration. Oversee work required from outside counsel, where required. Work closely with in-house legal team. Stays informed of changes to law and regulations—in particular, those applicable to public companies—and advising management about any impact to the business. Provide clear and concise guidance to business units, particularly on novel and complex legal issues. Actively engage with business units to help identify and assess risks and resolve issues. Proactively collaborate with stakeholders across the enterprise, including compliance, technology, risk, operations and other key partners. Support other projects to support the legal department as necessary.

Qualification and Experience

Qualifications: JD Degree from a recognized U.S. university. Licensed to practice law in a U.S. state (NY/NJ preferred). 8+ years (minimum) of legal experience, either with a recognized U.S. law firm or in-house with a financial institution, fintech company or technology company. Knowledge and experience with laws, rules and regulations applicable to U.S. public companies (including those relating to the transition from a private to a public company). Experience with private company capital raising. Experience leading M&A transactions. Experience actively working with companies from IPO readiness through IPO launch and with public company legal and regulatory operations and filings. Experience working at public company (successful IPO experience preferred).. Experience managing relationships with Investors and with the Board of Directors. Overall broad legal knowledge and experience (corporate law, corporate governance, banking, securities, litigation, commercial contracts, compliance). Experience with intellectual property matter a plus. Experience of working with consumer finance laws and regulations, compliance and risk management, and fintech a plus. A strong leader who has the ability to both work within, as well as coordinate the work of, a team of legal professional and external counsel. Ability to seek creative, innovative solutions for complex business matters. Ability to anticipate legal issues or risks, develop legal strategy and to advise accordingly. In-depth understanding of how legal issues affect growing fintech or financial services companies a plus. High degree of professional ethics and integrity. Excellent judgement, analytical skills and decision making. Excellent interpersonal and communication skills, including the ability and desire to build relationships with others. Hard working, well organized and able to manage numerous projects simultaneously under deadline pressures.
