A law firm in Dallas is seeking a Mid-Level Corporate Finance Associate Attorney with 4-6 years of experience. The ideal candidate will have substantial experience representing administrative agents, lenders, and borrowers in credit facilities, including club and broadly syndicated credit facilities, acquisition financings, and private credit facilities. The candidate should be skilled in negotiating and drafting critical financial documents and possess a strong academic background with superior drafting skills. Experience representing private equity sponsors and portfolio companies is beneficial. The role requires a diligent, proactive, and team-oriented individual who is prepared to take on significant responsibilities for deal management, client interaction, and work product.

Duties:

  • Represent administrative agents, lenders, and borrowers in various credit facilities, including club and broadly syndicated credit facilities, acquisition financings, and private credit facilities.
  • Negotiate and draft credit agreements, debt commitment letters, term sheets, security agreements, and closing deliverables.
  • Prepare and review key documents such as secretary’s certificates, resolutions, legal opinions, schedules, and exhibits.
  • Manage and oversee significant aspects of deal management, ensuring accuracy and compliance throughout the transaction process.
  • Interact directly with clients, providing legal counsel and handling complex financial transactions.
  • Support and collaborate with team members to achieve project goals and maintain high-quality work standards.
  • Represent private equity sponsors and portfolio companies as needed, including providing legal advice on financing and investment matters.
  • Stay current with developments in corporate finance and related legal practices.

Requirements:

  • 4-6 years of experience in corporate finance, with substantial experience in credit facilities, acquisition financings, and private credit facilities.
  • Proven experience in negotiating and drafting credit agreements, debt commitment letters, term sheets, and related documents.
  • Experience representing private equity sponsors and portfolio companies is beneficial.
  • Strong academic background with superior drafting and analytical skills.
  • Diligent, proactive, supportive, and team-oriented work ethic.
  • Willingness to take on significant responsibility for deal management and client interaction.
  • Admission to one or more state Bars is required, with prior admission to the Texas Bar considered a plus.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to practice law in the relevant jurisdiction(s) (Texas Bar admission is a plus).
