Corporate Counsel The candidate will support senior attorneys in a variety of corporate legal tasks, with the goal of taking progressively increasing ownership over such tasks, including: Corporate governance and subsidiary management for firm's US and certain of its international legal entities, including for example drafting and coordinating board of director consents and similar approvals for subsidiary corporate actions and legal work associated with periodic filings in US and international jurisdictions (with the support of legal support staff and outside vendors as appropriate). Corporate governance matters relating to firm's non-wholly owned affiliates and investments. Internal reorganizations, affiliate contracts and similar internal transactions. and Supporting legal needs of other firm's departments (e.g., finance, accounting, tax, HR, etc.) with corporate legal advice on an as-needed basis. Will be drafting, or assisting with the drafting and negotiation of, select vendor and/or strategic contracts, such as non-disclosure agreements, law firm engagement letters, and other types of contracts Due diligence, research and other tasks relating to potential M&A transactions and strategic investments. and Due diligence, research, document preparation and other tasks relating to financing transactions. Assist senior attorneys with federal securities law compliance, including Section 16 (draft Form 4s) and 1934 Act disclosures (review and/or draft Form 10-Qs/Ks) and support annual meeting of stockholders process (review and/or draft Proxy Statement, prepare annual meeting documentation). Develop expertise and provide support regarding regulations and standards applicable to the Company (such as EU benchmark regulations, data privacy rules and regulations, IOSCO standards, etc.) on an as-requested basis. Provide support for board of director meetings for firm's Global Markets and its trading venue subsidiaries, including assistance with preparing and compiling agendas, communications, slide decks, reports, pre-meeting packets, meeting materials, actions, resolutions and minutes. Provide support as requested in other legal areas, including potentially litigation, internal investigations and examinations. regulatory aspects of exchanges and other trading venues. real estate. insurance or other areas. Other legal support for company activities as requested.
Qualification and Experience
The candidate should have Bachelor's Degree and Juris Doctorate from an accredited institution. Must have License to practice law in Illinois (or licensed in another state and willing to take Illinois Bar). Must have 1-3 years of experience working in a law firm, governmental agency or corporation, preferably with responsibility for corporate, contracts and/or securities law matters. Experience in the financial services industry is a plus. Computer proficiency in Microsoft Office Suite applications including Word, PowerPoint, Excel and Outlook is required.
