Senior Managing Counsel, Technology The candidate will be providing legal guidance on new technology and global initiatives affecting privacy, data protection and security. Advising business leaders on the implementation of, and risks associated with, technology systems and innovations (such as Cloud and Cyber). Preparing agreements for the procurement of technology solutions and other products and services. Advising on the transfer and sharing of intellectual property throughout the Deloitte network (including drafting appropriate agreements). Advising on information/data security, privacy and confidentiality considerations. Managing/updating internal policies and procedures to ensure compliance with global laws bearing on privacy and cybersecurity. Working with the appropriate cross-functional teams to scope and perform periodic data privacy risk assessments, mitigation and remediation. Work closely with the technology group on technology solutions benefiting the Deloitte organizations.
Qualification and Experience
The candidate must have Bachelorâ€™s degree and a J.D. from a top law school. Should have 15+ years of legal experience with a focus in the following areas: new technology, cyber security, cloud computing, big-data analytics, data governance, and IP. Background in M&A and general corporate matters is preferred. Management experience of other seasoned lawyers is required. Experience advising on various legal risks and obligations relating to data security and under privacy laws in the U.S., Canada, Europe (including GDPR) and APAC is needed. Experience drafting and negotiating transactional documents, merger agreements, purchase and sale agreements, securities documents and public filings, commercial contracts, license agreements, employment agreements, master services agreements, transitional services agreements, non-disclosure and confidentiality agreements, novation and assignment agreements, escrow agreements, letters of intent, MOUs, and company formation and organizational documents is must.
