Senior Research Counsel
Duties: Provides legal counsel and guidance to administration and other personnel on hospital matters involving legal problems in accordance with the rules of the Supreme Judicial Court and the applicable rules applicable to members of the Massachusetts Bar. Knowledge of healthcare research, including: FDA, DHHS, MDPH, NIH regulations, and the current regulatory environment; legal and procedural practices; and research practices and procedures at a level generally acquired through varied legal experience with an emphasis on healthcare research-related issues. Knowledge of intellectual property law to include patents, trademarks, and copyright law at the level of a non-patent attorney. Knowledge of the process for commercialization of inventions and other intellectual property. Negotiate Clinical Trial Agreements (CTAs), Confidentiality Disclosure Agreements (CDAs), Material Transfer Agreements, licensing agreements, and other clinical trial and research related agreements. Provides legal advice to the hospital community. Keeps hospital management informed of proposed and new legislation and administrative and court decisions pertinent to the operation of the hospital with a focus on research-related issues. Provides updates on changing regulations. Handles legal matters, including drafting of documents such as contracts and leases, negotiation, and interpretation of law and regulation, independently. Reviews and prepares contracts and corporate filings. Reviews and negotiates managed care agreements. Participates in litigation. Provides consultation on issues before the Institutional Review Board. Provides legal counsel on a variety of patient care issues, including representation in guardianship cases. Reviews hospital policies and procedures and provides legal counsel as required. Maintains an effective working relationship with corporate wide contacts, including senior managers and physicians. Provides counsel and guidance to administration and other personnel on business issues. Establishes and maintains effective working relationships with outside counsel, governmental agency lawyers and staff, and various outside parties and lawyers. Develops training materials and conducts, or participates in, in-service education and training seminars on a variety of legal issues for management, employees and physicians. Meets informally with physician groups to discuss legal issues. Represents the General Counsel at meetings and participates on committees as directed. Participates in continuing professional development activities, such as seminars and conferences, to keep abreast of legal developments and changes in the regulatory environment. Maintains membership in appropriate professional organizations and attends professional organization meetings. Follows established hospital infection control and safety procedures. Conforms to hospital standards of performance and conduct, including those pertaining to patient rights, so that the best possible customer service and patient care can be provided. Utilizes hospital's RESPECT values as the basis for decision-making and to facilitate the division's hospital mission.

Qualification and Experience

Qualifications: BA/BS degree. Juris Doctor Degree from an accredited law school. Massachusetts license to practice law. Must have 5-7 years of varied legal experience is required. Emphasis on healthcare related issues, including research. Knowledge of health care regulatory and compliance principles. Analytical ability to distill complex legal principles and to assess legal risk in order to deliver meaningful legal advice to service areas at all levels of the organization. Proven ability to collaborate with all levels of management relative to achievement of corporate goals. Excellent ability to negotiate and draft accurate and enforceable contracts and other legal documents. Interpersonal skills and ability to provide leadership role in representing law department on multi-functional teams throughout Hospital and at other venues. Strong organizational and prioritization skills. Eagerness to perform other legal duties as may arise within the hospital and health system.
