Paralegal The candidate will manage compliance calendar and corporate maintenance of domestic and Canadian subsidiaries such as qualifications to do business and annual reports. Manage annual D&O questionnaires and support proxy season efforts, including preparation of proxy statement, exhibit lists and other SEC filings. Help maintain hCue global entity database for legal entity details and corporate document storage. Preparation/review of various corporate documents and commercial agreements. Manage Eclipse document database for all commercial contracts. Field a wide variety of incoming requests for legal assistance from both internal and external stakeholders. Research and respond to queries, and coordinate with other functional area stakeholders and outside local counsel as necessary. Litigation support (discovery, deposition coordination, litigation holds) and related document management. Intake and process all mail and service of process (wage garnishments, subpoenas, complaints). Assist with data room management and document closing binders for M&A activity. Assist with post-closing integration and maintenance work for newly acquired companies and restructuring initiatives. Project assistance and management of legal projects and legal operations. Should have 3+ years of direct, on-point experience working as a corporate paralegal at a large firm and/or public company. In-house experience preferred. Experience supporting domestic subsidiary maintenance is required, Experience with international subsidiary maintenance is a plus. B.A. degree or paralegal certificate preferred. Should have experience with Microsoft Office products, including Excel and Word. Experience with Google Apps for Work is a plus.
