Coporate Counsel
The candidate will advise internal clients on a broad range of legal issues affecting the company, handling the legal function within the organization, and overseeing the work of outside counsel. Will directly be involved in the legal contracting process and analyze all customer and vendor agreements, and other necessary contracts for the company. Using experience in litigation and/or health law, will provide legal advice on a range of business and regulatory issues pertaining to our company operations, including federal and state fraud and abuse laws / regulations, privacy laws, and other areas of organizational risk. Also supports litigation and coordinating responses to various constituents, including internal clients, customers, and to outside counsel. Participates in the development of corporate legal policies and procedures and provides continuing counsel and guidance on legal matters and the legal implications of all matters. Analyzes the merits of litigation matters filed against or on behalf of the company, works with the Assistant General Counsel, appropriate executive(s) and any outside counsel to define a litigation strategy and approves settlements of disputes, where warranted. Responsible for analyzing all customer agreements, vendor agreements and other critical contracts and provides legal advice on same to ensure the company conducts its business in compliance with applicable laws as well as regulations. Will support our internal legal function, staff, and outside counsel. Assists the Assistant General Counsel in advising on the legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities.

Qualification and Experience

The candidate should have J.D. degree from and accredited U.S. law school; current admission to a state bar. Should have 3+ years’ experience as a practicing lawyer, preferably in litigation and/or corporate law, in a law firm setting before moving to an in-house position. Certification in health care compliance desirable. Exposure to or familiarity with the following areas of law: litigation, commercial contracting, corporate transactions, health care laws and regulations. Outstanding academic achievement and quality writing and analytical skills. Experience representing health care clients, preferred. Excellent research, analytical, communication (written and verbal), social and project management skills. Validated legal experience in a law firm environment. Highly motivated and high-performance work ethic. High degree of professional ethics and integrity. Good judgment and analytical skills. Excellent social and communication skills. May require travel to subsidiary laboratory locations.
