The ideal candidate will have extensive experience in private investment fund formation and counseling, as well as a deep understanding of relevant corporate and securities regulations. The candidate must be an entrepreneurial self-starter and barred in the state of California.

Key Responsibilities:

  • Advise clients on all aspects of private investment fund formation, including structuring, formation, and governance.
  • Counsel clients on relevant corporate and securities regulations affecting private investment funds.
  • Draft and review offering memoranda, partnership agreements, subscription documents, and other related documents.
  • Provide strategic advice to venture funds, venture studios, incubators, accelerators, and crypto venture funds.
  • Assist clients in regulatory compliance, including SEC filings and state securities law compliance.
  • Conduct due diligence and risk assessments for fund formations and related transactions.
  • Develop and maintain strong client relationships, ensuring high-quality client service and satisfaction.
  • Collaborate with cross-functional teams within the firm to provide comprehensive legal support.
  • Stay current with industry trends, legal developments, and regulatory changes affecting private investment funds.
  • Participate in business development activities, including client pitches and networking events.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to practice law and in good standing in California.
  • Superior academic credentials.
  • Minimum of 3-4 years of experience in private investment fund formation and counseling.
  • Extensive knowledge of corporate and securities regulations affecting private investment funds.
  • Proven ability to manage multiple projects and prioritize tasks effectively.
  • Strong analytical, problem-solving, and decision-making skills.
  • Excellent oral and written communication skills.
  • Exceptional interpersonal and teamwork skills.
  • Entrepreneurial mindset and ability to work independently as a self-starter.
  • High level of professionalism and strong client service orientation.

Education & Certifications:

  • Juris Doctor (JD) degree from an accredited law school.
