In-House Legal Counsel The candidate serves as in-house legal Counsel for the Wholesale Lending Division, is the bank liaison with outside counsel, and oversees the use of outside legal counsel by individuals and department heads throughout the bank. Reports to the Chief Credit Officer and supports operational, corporate and regulatory matters within Wholesale Lending. The position provides legal advice, risk assessment and recommendations concerning wholesale loans. This position is responsible for providing monthly reports to ownership and management on any legal matters of consequence handled in-house or with outside legal. Provides in-house legal counsel or seeks outside counsel for the Wholesale Lending Division. Is liaison with outside legal counsel for all bank Divisions. Works collaboratively with the Chief Credit Officer. Drafts and reviews detailed legal documents for Wholesale Lending Division. Is proactive and adept at developing defense strategies for problem loans. Advises lending staff on proper legal structure of notes, participations, UCC filings, contracts, and other legal documents. Reviews and negotiates structure of Wholesale Lending software licensing contracts. Ensures that Wholesale Lending is in compliance with all laws and regulations and works cooperatively with compliance colleagues. Researches and evaluates risk and recommends appropriate action when dealing with regulatory authorities. Monitors legal developments and trends including changes in law, regulations and administrative and judicial decisions relevant to the bank within the Wholesale Lending Division. Identifies, escalates and resolves issues as appropriate within the Wholesale Lending Division or other divisions of the bank. Understand and adhere to all bank policies, laws and regulations applicable to their role. Complete compliance training; follow internal processes and controls as required. Reports all compliance issues, violations of law or regulations in accordance with the steps defined in bank policies. Regular and reliable attendance is an essential function of this position. Performs other job related duties or special projects as assigned.
Qualification and Experience
The candidate must be licensed to practice law in Nebraska. Should have 3 years business law experience. Must have strong research and negotiation skills. Specialization in Corporate Law preferred. In-depth knowledge of bankruptcy law preferred. Must be proficient in Microsoft Word, Excel and in working with financial spreading software. Should have solid knowledge of loan legal documents.
