A law firm seeks a Capital Markets Associate to join its team in New York. This role offers an exceptional opportunity to work on a variety of private and public securities transactions, including IPOs, SPACs, and cross-border offerings. The ideal candidate will have prior experience in capital markets law and will be eager to collaborate with a dynamic team in a fast-paced, growth-oriented environment.

Duties

  • Represent clients in a wide range of capital markets transactions, such as initial and follow-on public offerings, PIPE transactions, and de-SPACs.
  • Handle filings under the ’33 and ’34 Acts, ensuring compliance with securities regulations.
  • Work on mergers and acquisitions (M&A), as well as cross-border transactions between the . and Asia.
  • Provide legal advice to issuers, underwriters, and placement agents on securities offerings and corporate governance matters.
  • Draft and review SEC filings and other legal documents related to securities transactions.
  • Collaborate closely with team members, managing multiple projects while maintaining high standards of service.
  • Engage in fast-paced client interactions and strategic discussions, helping clients navigate complex regulatory environments.

Requirements

  • Experience:
    • 2 to 5 years of experience in capital markets transactions, including IPOs, public offerings, and PIPE transactions.
    • Familiarity with securities listing processes, particularly on NASDAQ/NYSE or OTCQB/QX.
    • Knowledge of SEC, FINRA, and NASDAQ/NYSE regulations and compliance.
    • Experience with SPAC and de-SPAC transactions is advantageous but not required.
  • Skills:
    • Strong analytical and drafting skills for securities-related legal documents.
    • Excellent negotiation, writing, and research skills.
    • Ability to manage a high volume of tasks efficiently while delivering quality work.
    • Collaborative mindset, with a focus on teamwork and client service in a fast-paced environment.
  • Licensing:
    • Admission to the New York or Connecticut bar is preferred.
    • Must be admitted to the NY State Bar.

Education

  • Juris Doctor (JD) from an accredited law school.
  • Strong academic credentials preferred.

Certifications

  • Active membership in the NY State Bar or eligibility to be admitted.

Skills

  • Knowledge of capital markets regulations and securities law.
  • Proficient in drafting SEC filings and navigating securities transactions.
  • Mandarin language skills are a plus.
  • Excellent communication and interpersonal skills for client-facing interactions and teamwork.
