Corporate - General
Counsel, Vice President The candidate will provide legal support to the U.S. Investor Services division, whose business unit provides services to registered mutual funds, other investment products and insurance companies. Advise and work closely with internal business partners. Support new fund launches, conversions, mergers and other transactional activity. Support new State Street product and technology initiatives and marketing and sales activities. Advise business partners regarding laws and regulations governing registered mutual funds, private funds, trust companies, separately managed accounts, ERISA vehicles, Section 529 plans, insurance companies, etc. Support execution of key initiatives from a legal and regulatory standpoint. Negotiate custody, fund administration, transfer agency, and other contracts with fund customers, investment advisers, brokers and others. Work with State Street affiliates and internal legal colleagues to address joint servicing models and other corporate-wide legal and regulatory initiatives. Handle multiple projects and deadlines simultaneously with careful legal analysis and attention to detail. Exercise sound legal and business judgment in dealing with clients and colleagues. Act as a trusted adviser to State Street business units.
Qualification and Experience
A J.D. from accredited law school and Bar admission required. 5 years or more of law firm experience and/or equivalent legal experience with financial services company or mutual fund service provider is preferred. Should have demonstrated expertise in transactional negotiation, the Investment Company Act, insurance company matters or corporate/securities areas. Experience with legal issues related to Registered Transfer Agents is a plus.
