Senior Counsel, Capital Markets Documentation The candidate will act in an advisory role for a wide range of legal issues relating to derivatives agreements and transactions and provide legal assistance to a team of professional negotiators in a large corporate legal department. Will draft standard templates and legal opinions, provide advice and direction to negotiators, and in some cases, and negotiate the more complex contract provisions in documents such as ISDA Master Agreements and Credit Support Annexes, OTC Clearing Documentation, Futures Agreements, Give-up Agreements, Master Repurchase Agreements, Securities Lending, Loan Documentation, and ancillary documents such as guarantees, account control and non-disclosures agreement. Act as a mentor and legal resource for negotiators and paralegals in the Documentation Unit. Advise business partners and other departments such as credit and treasury on contract interpretations as well as regulatory and commercial law issues relating to contract documents. Update and, where appropriate, develop and implement the team's policies, procedures and guidelines. Supervise outside counsel in the delivery of (1) enforceability and netting opinions for derivatives and foreign exchange documentation for jurisdictions in the North American region and (2) annual updates for such opinions. Represent company on industry documentation committees for the relevant product areas in North America. Report to Senior Management in the Legal department and may also participate in internal committees and assist with internal/external documentation audits and regulatory inquiries. Should have a J.D. degree from an accredited law school and a current attorney's license. Must have 3+ years of experience in a legal practice, preferably at a major law firm or in-house corporate legal department.
