Legal Administrative Assistant The candidate will join firm's active corporate and securities legal group. Will work closely with attorneys on conducting diligence for securities filings. Assist in compiling information on the Proxy Statement and on preparation for the Annual Meeting. Support the subsidiary management process by updating information for subsidiaries on database (including corporate governance documents, directors and officer lists, and resolutions) and assist with managing subsidiary organizational chart. Identify proper signatories and collect signatures on corporate documents. Assist corporate and securities legal group with proper record-keeping and filing. Arrange travel for Corporate and Securities group as necessary. Process legal invoices for payment and manage expense reporting. Support the corporate secretary function (work with attorneys on drafting powers of attorney and delegations of authority to provide for the authorization of a variety of corporate actions). Prepare and revise correspondence, presentations and other documents as directed. Process mail, payroll and other miscellaneous tasks. and provide additional administrative support and assist with other projects and duties as required.
Qualification and Experience
The candidate must have 5-8 years relevant experience in-house at a public company or at a major law firm doing corporate and securities administrative work. Must have experience using and updating on-line databases. High school diploma, Associate’s or Bachelor’s degree preferred. Outstanding communication skills (written and verbal) is required. Must be proficient in Microsoft Office (Word, Excel and PowerPoint). Must be authorized to work in the United States.
