Director of Corporate Compliance Duties: Manages and administers day to day operation of the corporate compliance program; Maintains updated policies, procedures, and practices concerning corporate compliance, including the company’s Code of Business Conduct; Maintains and works on a program of continual corporate compliance improvement that promotes awareness throughout the workforce and helps prevent illegal, unethical and improper conduct by company personnel and representatives; Ensures that all tenets of an effective compliance and ethics program are present and functioning satisfactorily; Identifies areas of company compliance risk, assesses the risks, develops proposals to mitigate risks, and leads the implementation of mitigation strategies; Collaborates with other corporate departments, functions, and regions, as necessary and appropriate, to investigate and evaluate potential compliance issues; Conducts and supervises internal investigations of alleged violations of the Code of Conduct, U.S. and International laws, and governing corporate policies which includes formulating investigation strategies, conducting interviews, obtaining and analyzing evidence, preparing investigation reports, and presenting investigative results to executives and senior management when warranted; Designs and delivers compliance-related training across the organization; Resolves potential compliance issues, including through the use of guidance, policies, training, and corrective action plans; Stays current regarding corporate compliance laws, practices, and trends, and assesses their applicability to the company’s business; Prepares and delivers reports as requested and also as warranted concerning compliance-related matters; Drafts, reviews, revises and/or negotiates various complex commercial agreements, contracts and bid documentation related to compliance globally, as needed; Manages the company’s hotline and compliance reporting processes; and Maintains effective electronic systems and communication tools for reporting and training as part of the corporate compliance program.
Qualification and Experience
Requirements: Must have a bachelor’s degree from a competitive four-year university or college, and a juris doctor degree from an accredited U.S. law school is strongly preferred, in each case with exceptional academic credentials. Must have 5+ years of experience is required in the practice of compliance law or dispute resolution law at a top U.S. law firm or in-house law department of a U.S.-based multinational corporation, in a corporate compliance supervisory role at a publicly-traded U.S. corporation, and/or in state or federal government in a senior position with compliance oversight or a compliance docket. Upstream oil and gas industry experience is a plus. Should have experience resolving material, complex matters requiring significant effort under the press of time; experience with internal investigations, document reviews, examinations of books and records of account, and audits; working knowledge of compliance-related laws, rules, regulations, and policies; exceptional oral and written communication skills; strong presentation skills; analytical and organizational skills; a hands-on leadership style along with an ability to see the big picture, collaborate and interface with all levels of the organization, lead change, and generate process improvements; and a strong understanding of financial and accounting practices.
