Profile

Vice President, Associate General Counsel – Information Technology and Privacy The candidate will lead its legal support for information technology and privacy. Will manage, oversee and provide legal advice, counsel and services to domestic and international businesses in support of information technology and privacy matters. The individual will report directly to the SVP, Associate General Counsel, Corporate. Serve as a functional expert on all legal aspects of information technology and privacy, including data usage and security. Coordinate with Enterprise Information Technology leadership and business leadership on legal issues and risks associated with information technology, including commercial legal, compliance, and regulatory functions. Oversee the legal architecture for Cardinal Health’s information technology platforms. Act as the primary attorney group to review and negotiate information system and other technology contracts, including: Customer-facing SaaS and other cloud services, software licenses and hardware sales; SaaS, PaaS, IaaS and other cloud vendor arrangements; Hardware and software information technology purchases; Information technology and other technology service arrangements; Software development, including open source. Oversee legal aspects of data acquisition, retention and usage. Oversee legal aspects of privacy compliance in the U.S., including HIPAA and various state laws. Oversee legal aspects of privacy and security compliance and data transfer outside the U.S., including General Data Protection Regulation (EU) and other foreign laws. Oversee legal aspects of information technology and data security. Coordinate and train commercial attorneys on relevant legal aspects of information technology and privacy. Develop training materials and train information technology groups and businesses relating to legal aspects of information technology and privacy, including data usage and security. Develop corporate policies with other groups regarding information technology and privacy, including data usage and security. Support acquisitions, divestitures, and joint ventures as it relates to information technology and privacy matters. Manage lawyers and other functional experts, including outside counsel.

Qualification and Experience

The candidate should have significant experience with a wide variety of information technology and privacy matters, including data usage and security. Strong administrative skill is essential. Excellent negotiating and drafting skill is essential. Excellent communication skill is essential. Should have JD degree and Undergraduate. Must have License to practice law in Ohio or active Bar license in another state. Should have 12+ years of relevant legal experience. Experience with health care information technology as a product or service is preferred. Significant experience with HIPAA and GDPR (EU) is preferred. Experience with acquisitions, divestitures, and joint ventures is preferred. Experience managing others and leading a legal team is preferred.
