Counsel The candidate will help protect the companyâ€™s interests during the entire life cycle of the companyâ€™s relationship with its franchisees. Will be responsible for providing legal advice in the areas of franchise sales, commercial contracts, contracts compliance, customer care, and general business operations. Advise the franchise sales team during the negotiation of franchise agreements and draft deal-specific provisions; counsel the contracts compliance team with respect to events giving rise to default or termination; advise on and coordinate the companyâ€™s response to certain customer care complaints; ensure new business initiatives comply with the law; and advise management on recent changes in laws and regulations that affect the company. Counsels the franchise sales and relicensing teams and drafts and negotiates deal-specific provisions in franchise agreements. Reviews all proposed franchise applications for compliance with law. Advises contracts compliance team regarding events giving rise to default, termination and other compliance action under franchise agreements. Negotiates and drafts comfort letters with lenders in connection with franchisee financing. Advises settlements team and reviews and drafts termination and reinstatement agreements. Provides legal advice and coordinates responses to certain customer care complaints arising at franchised hotels. Provides general legal advice to the franchise operations team regarding franchisee training materials, brand standard manuals and other franchisee-facing materials. Must have Law degree. Should have 3-5 years of relevant experience in a law firm environment. Must have Admission to NJ or NY Bar. Should have experience in commercial contracts and general business counseling. Hospitality or franchise experience preferred.
