Senior Counsel The candidate will have responsibility for providing first chair legal support for: Global technology agreements (license agreements, MSA’s, SOW’s, service agreements). Will work on Procurement agreements (outsourcing agreements, NDAs, services agreements), HR agreements (engagement letters benefits agreements), Corporate Real Estate agreements (leasing guidelines, LOI’s, subleases, estoppels/SNDAs, lease amendments/terminations, guaranties). Marketing and Communications (marketing consent letters, press release disclaimers) and Global Affiliate agreements (creating forms and contracting standards for region-specific affiliate agreements). Advises on legal aspects of commission, agency and other compensation agreements, engagement letters, management services and development consulting agreements. Cooperates with outside counsel on various legal matters. Participates in formulation, implementation, interpretation and training of the firm’s and individual department policies. Maintains current knowledge of the law in matters of interest to firm. Performs selected assignments and other responsibilities as assigned by the Assistant General Counsel.
Qualification and Experience
The candidate should have Bar admission and law degree from an accredited law school with 5+ year’s corporate transactional experience reviewing, drafting, and negotiating complex commercial contracts. Experience in both private practice and an in-house environment is preferred. Experience providing legal support to professional services clients is preferred. Must have proven track record of success in an autonomous work environment while proactively seeking creative solutions to complex business challenges. Contract drafting and negotiating experience is required. Must have strong organizational skills, excellent verbal and written communication skills (including public speaking, meeting facilitation, and presenting to a large group) and be a critical and analytical thinker. Experience relevant to the firm’s real estate services, such as brokerage, leasing, commercial real estate transactions is preferred. Must have experience managing outside counsel from both a cost effectiveness and work product standpoint.
