Profile

Counsel - ERISA / Asset Management The candidate will provide legal advice and recommendations to business clients so they can make educated and informed business decisions. Handle legal matters of intermediate complexity to ensure that company affairs are conducted within the framework of the law and consistent with sound business practices and ethics. Work in legal area: RIS/ERISA. This lawyer will support RIS FSA with qualified plan issues and potentially RIS Annuities with retail annuities. Pension plan work will include issues relating to pension plan operations and qualification, investment issues, product design, fiduciary/transactional operations, prohibited transaction rules and the ERISA/IRC provisions impacting the same. Work will include regulatory compliance and advocacy work. Retail annuities work would include work with both fixed and variable annuities and would require knowledge of both insurance and securities laws applicable to annuities. Asset Management/40 Act; Lawyers working in this area provide legal services to a number of internal clients on a variety of matters in support of a global asset management business. Candidates should have strong corporate and transactional experience. Experience with laws and regulations applicable to investment management including US and international regulations regarding investment advisers and investment funds is a plus. May also provide legal services to the Principal sponsored registered investment companies (mutual funds and EFTs) on a variety of matters. Securities law experience with an emphasis on registration statement and periodic disclosure filings a plus. Requires excellent oral and written communication skills, organizational skills and the ability to appropriately manage and prioritize a diverse workload. Accountability: Investment issues, product design; Fiduciary/transactional operations; Prohibited transaction rules and provisions.

Qualification and Experience

The candidate should have J.D. and 5 years’ experience as an attorney. Must be admitted to practice in the state employed within twelve months of hire. Requires knowledge of the relevant area of law and its application. Requires superior written and verbal communication skills. Must be able to apply knowledge of the law to make sound judgments, communicate, and interact with others in a professional manner.
