Job Overview: A law firm is seeking a highly skilled and experienced Mid/Senior-Level Public Mergers and Acquisitions Associate Attorney to join their team in New York City, NY. The ideal candidate will have a strong background in handling complex M&A transactions, outstanding academic credentials, and exceptional communication skills. This role requires a proactive, detail-oriented professional committed to delivering high-quality legal services.

Duties and Responsibilities:

  • Led and managed public M&A transactions from inception through closing.
  • Draft, review, and negotiate complex transaction documents, including merger agreements, asset purchase agreements, stock purchase agreements, and ancillary agreements.
  • Conduct due diligence investigations and prepare due diligence reports.
  • Advise clients on legal and business issues related to M&A transactions, including regulatory and compliance matters.
  • Coordinate and collaborate with other attorneys, clients, and third parties to facilitate smooth transaction processes.
  • Provide strategic advice to clients on transaction structures, deal terms, and risk management.
  • Assist in developing junior associates and support staff by providing guidance and mentorship.
  • Stay abreast of relevant laws and regulations changes that may impact M&A activities.

Requirements:

  • 3-6 years of experience in public mergers and acquisitions.
  • Should have general M&A and transactional experience, focusing on M&A transactions involving public companies (on the sell side and buy side) and related securities laws.
  • Outstanding academic credentials from a reputable law school.
  • Comparable law firm experience with a focus on public M&A transactions.
  • Excellent written and verbal communication skills with the ability to convey complex legal concepts clearly and effectively.
  • Admission to the New York Bar or eligibility to obtain admission promptly.

Education:

  • Juris Doctor (.) degree from an accredited law school.

Certifications:

  • Admission to the New York State Bar.
