Legal Counsel The candidate will provide advice and counsel on legal and other related matters to the board of directors, Chief Executive Officer, executive management and other staff concerning all legal matters pertaining to the organization and its subsidiaries. Review and negotiate Southwest Key contracts. Draft briefs, memoranda, position statements, discovery responses, correspondence, and other legal documents. Handle labor/employment/HR legal matters and cases. Supervise pending administrative claims and litigation concerning the organization. Monitor and review work performed by outside counsel. Prepare and review policies and procedures for the organization. Review and draft legal and governance documents necessary for the organization’s operations. Analyze complex legal issues and conduct legal research. Participate in investigations and report out on findings. Work on special Legal department and compliance projects as assigned by the General Counsel. Periodically review and update the corporate documents of and its subsidiaries, and prepare board policies and resolutions as needed. Anticipate and protect against risks facing the organization. Provide training on legal topics for staff. Able to react to change productively and handle other essential tasks as assigned.
Qualification and Experience
The candidate should have Doctor of Jurisprudence (J.D.) from an accredited law school; 5+ years’ experience as a licensed attorney; must be a member in good standing with the State Bar of Texas. Should be proficient word processing and computer skills needed with web-based resources. Bilingual in Spanish is a plus. Experience in school law, construction law and/or contract negotiation is a plus .
