A law firm is seeking a highly skilled Corporate/Music Associate Attorney to join their team in Los Angeles, CA. The ideal candidate will have 4-6 years of experience working in prominent law firms' corporate and music departments. This role involves handling diverse corporate and music-related legal matters, including drafting and reviewing complex agreements, managing transactions, and coordinating due diligence.

Duties and Responsibilities

  • Draft and review various agreements, including asset purchase agreements, stock purchase agreements, recording contracts, publishing contracts, producer agreements, songwriting agreements, tour agreements, and management agreements.
  • Manage and oversee mergers and acquisitions in the music space, including music catalog sale due diligence.
  • Handle corporate governance and investment documents, including operating agreements, shareholder agreements, and other related documents.
  • Coordinate copyright due diligence and trademark searches in collaboration with IP counsel.
  • Provide legal support for acquisition and sale deals, working closely with partners.
  • Ensure compliance with all relevant laws and regulations in the corporate and music sectors.
  • Maintain strong organizational and time management skills to manage multiple tasks efficiently.
  • Keep abreast of changes in laws and regulations affecting the corporate and music industries.

Requirements

  • Juris Doctorate (JD) from an accredited law school.
  • Admission to practice law in California.
  • 4-6 years of experience in prominent law firms' corporate and music departments or equivalent.
  • Proven experience with asset purchase agreements, stock purchase agreements, recording contracts, and other music-related contracts.
  • Experience with music catalog sale due diligence.
  • Demonstrated ability to handle mergers and acquisitions in the music industry and standard music transactions.
