Duties and Responsibilities:

  • Draft, review, and negotiate complex legal documents related to corporate transactions, such as purchase agreements, investment agreements, and partnership agreements.
  • Advise clients on regulatory compliance, risk management, and corporate governance matters.
  • Collaborate with clients and internal teams to develop strategic solutions and address legal issues.
  • Conduct legal research and analyze case law, statutes, and regulations to support client needs.
  • Represent clients in meetings, conferences, and other interactions with stakeholders.
  • Manage multiple projects simultaneously and meet tight deadlines.
  • Stay current on industry trends, legal developments, and market conditions.

Requirements:

  • 2-3 years of experience in private equity fund acquisitions and related corporate transactions.
  • Strong academic record from an accredited law school.
  • Excellent written and verbal communication skills.
  • Demonstrated ability to work independently and as part of a team.
  • Proficiency in legal research and analysis.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the Bar in Pennsylvania or eligibility for admission.

Certifications:

  • Licensed to practice law in Pennsylvania or eligible for admission.
