A law firm in Washington, DC is seeking a skilled Commercial Finance Associate Attorney with 4-6 years of experience in handling complex commercial finance transactions. The ideal candidate will demonstrate proficiency in commercial finance transactions, the Uniform Commercial Code (UCC), secured transactions, and have a strong background in drafting and negotiating loan documentation, including leveraged finance. Experience representing borrowers, lenders, private equity sponsors, and agents in diverse finance transactions is highly desirable.

Job Duties:

• Conducting legal research and analysis related to commercial finance matters, including UCC issues and secured transactions.
• Drafting, reviewing, and negotiating a wide range of finance documents, including loan agreements, security agreements, and other related documentation.
• Advising clients on legal matters pertaining to commercial finance transactions, providing strategic guidance and risk assessment.
• Assisting in due diligence investigations and preparing related reports for finance transactions.
• Managing transactional closings and coordinating with clients and opposing counsel.

Requirements:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the Bar and in good standing in the jurisdiction of practice (preferably Washington, DC).
• 4-6 years of experience practicing law with a focus on commercial finance transactions.
• Solid understanding of the Uniform Commercial Code and related legal principles.
• Experience in leveraged finance and familiarity with financial instruments and lending structures.
