Senior Paralegal
The candidate will be responsible for general support of Legal Counsel including drafting institutional client agreements and related documents as well as assisting Legal Counsel with the negotiation of such agreements. Specifically, the position prepares and assists in the review and drafting of institutional client agreements, amendments, and other related documents (e.g. requests for proposals (RFPs), due diligence questionnaires (DDQs), and client certifications). May review institutional client agreements or other related documentation to identify legal and regulatory matters. Researches regulatory requirements and legal issues which arise on an ongoing basis in connection with portfolio management and contract negotiation to determine impact and next steps. Supports Legal Counsel with any other matters relative to the firm’s U.S. advisory business. Assists Legal Counsel with the review and analysis of current and/or pending regulations to determine the impacts to the firm’s advisory business. Understand the business implications of changes in regulations. Works with Legal Counsel to advise businesses of such changes; works with the business to improve and streamline procedures; and collaborates with Legal Counsel and business partners to ensure continued adherence to regulations. Working with Senior Legal Counsel, the position may prepare responses to regulatory inquiries from agencies, such as the SEC, regarding compliance as well as questions about the firm’s policies, procedures, and guidelines to ensure compliance with applicable laws, rules and regulations. Coordinates with regulatory agencies or other outside parties when issues arise and ensures filings are accurate and complete prior to submission.

Qualification and Experience

The candidate must have a College degree and 1 year of related work experience, or Associate degree and 3 years related work experience, or High School diploma/equivalent and 5 years related work experience. Paralegal experience with drafting agreements is necessary. Excellent interpersonal and influencing skills are needed. An additional 3-4 years of previous regulatory, industry, and/or paralegal experience is beneficial. Work experience in a legal or business environment is preferred. Familiarity with the Investment Advisers Act of 1940 or investment advisory activities is an asset.
