Duties: Provides legal advice to one or more mega projects or divisions, including transactional and operational matters, and works closely with leadership to identify and mitigate legal issues. Reviews project contract documents to identify and analyze legal risk related to the project or company. Reports legal risk and mitigation strategies to project and divisional management. Conducts contract reviews for pre-bid and bid phases of the divisions pursuits. Drafts and negotiates agreements, including design-build and construction contracts, joint-venture (JV) agreements, concession agreements (P3 transactions), sub-contract agreements with designers and civil contractors, interface agreements, lenders’ direct agreements, and parent company guarantees. Works closely with JV partners and external counsel to negotiate deals, completes closing paperwork and closing books. Advises project stakeholders of potential disputes and recommends mitigation strategies. Prepares and implements user manuals and training sessions for project contracts. Reviews and supports submission requirements for all divisional Request for Proposals (RFP). Works closely with functional business units including finance, tax, treasury, insurance and other teams to provide accurate and timely legal guidance. Maintains knowledge of Company’s values and strategic plan. Perform additional assignments per management’s direction. May carry out supervisory responsibilities in accordance with the organization’s policies and applicable laws. Responsibilities may include interviewing, hiring, and training employees; planning, assigning, and directing work; appraising performance; disciplinary actions; addressing complaints and resolving problems.
Qualification and Experience
Qualifications: JD Degree required. 5+ years’ experience of post-bar professional legal experience required. Experience in construction industry preferred. In-house corporate legal experience preferred. Knowledge, Skills and Abilities Knowledge of construction JV and alternative delivery project contracts preferred. Exceptional written and verbal communication and drafting skills. Analytical and proven problem-solving skills. High-integrity and able to maintain strict confidence with sensitive material and matters. Strong collaboration and team player attitude. Ability to travel, as needed.
