Corporate Counsel Duties: Provide assistance to the U.S. Legal & Compliance Group and support the various Aspen (re)insurance lines of business in an ethical and professional manner. Focus will be on the Essential Functions listed below. Provide legal advice on licensing, operational, transactions, product development and compliance matters. Stay current on changes and developments impacting the business and the US insurance regulatory framework. Interact with and provide legal advice to management, underwriters, actuaries, operations, Finance, HR, IT and Claims on a variety of legal matters. Develop, draft, revise and negotiate various agreements, including underwriting/business agreements such as non-disclosure agreements, producer agreements, delegated underwriting and claims authority agreements. Assist in corporate secretary functions, including drafting meeting minutes and development of meeting agendas. Review and analyze state insurance department statues, regulations, bulletins, etc. to advise on compliance of new and existing products. Interact and communicate with state regulators, make regulatory filings. Train new and junior team members / business on US insurance regulatory compliance. Assist with Group Legal projects, as needed, including SEC filings, disclosure committee protocols and corporate compliance and governance initiatives.
Qualification and Experience
Qualifications: Law Degree and admission in at least one state. 4+ years' experience in a law firm or relevant in-house experience. Knowledge of Holding Company Act, US insurance regulatory framework, particularly in the context of P&C companies and lines of business. Knowledge of or willingness to learn US and international privacy and data security laws Knowledge of P&C insurance industry. Proficient in the use of Word, Excel and other computer programs. Attention to detail, organizational skills and the ability to multitask. Outcome-focused, self-motivated, flexible and enthusiastic. Excellent oral and written communication skills. Ability to appreciate the importance of meeting deadlines.
