A law firm seeks a seasoned Emerging Companies and Venture Capital (ECVC) Attorney to join its Business Group. This role offers the opportunity to engage with a diverse client base, including start-ups and established corporations, providing day-to-day guidance and overseeing sophisticated business transactions across various industry sectors. The position also provides a full-service, bi-coastal platform to attract and expand clientele.

Duties

  • Advise clients on corporate governance and compliance matters.
  • Lead capital-raising initiatives, including private offerings, debt, and equity financing from diverse sources such as angel investors, venture funds, and banks.
  • Structure, negotiate, and execute complex transactions within multiple industry areas.
  • Counsel on corporate matters involving public companies, securities, capital markets, and mergers & acquisitions.
  • Build and sustain strong client relationships, delivering proactive legal solutions.
  • Participate in pro bono and public service projects to support vulnerable communities.

Requirements

  • Experience: Minimum of 7 years representing emerging companies in capital-raising transactions, including private offerings and a range of financing solutions. Additional experience in public company matters, capital markets, and M&A is beneficial.
  • Client Base: A partial portable book of business is required.
  • Academic Credentials: JD from an ABA-accredited law school.
  • Licensing: Active license to practice law.
  • Skills: Strong analytical and writing skills with a client-service mindset.
  • Project Management: Capable of managing multiple responsibilities both independently and as a team player.

Education

  • Juris Doctor (JD) from an ABA-accredited law school.

Certifications

  • Active law license.

Skills

  • Proficiency in corporate governance and venture capital transaction processes.
  • Expertise in financing transactions, investor relations, and compliance advisory.
  • Strong organizational and attention-to-detail skills.
  • Excellent communication abilities for client engagement and management of complex legal issues.
  • Skilled in drafting, negotiating, and finalizing transaction documents for various investments.
