Corporate Counsel The candidate will draft, negotiate and structure all forms of commercial contracts and agreements, including technology transactions agreements, aircraft and engine purchase agreements, maintenance agreements, and marketing, sponsorship and partnership agreements. Provide Company senior management with timely, effective legal advice with respect to any issue related to commercial transactions. Provide legal support to various departments, including reviewing contract provisions and language for legal sufficiency and compliance with Company legal requirements while working collaboratively with contract owners. Develop and maintain standard Company contracts. Develop and maintain sufficient legal expertise to competently provide expert counsel in commercial law as it particularly relates to aviation law. Develop legal expertise in other major areas of law that most commonly affect the Company. Assist in educating internal clients in the contracting process. Manage outside counsel effectively and consistently with Company policies. Other duties as assigned.

The candidate should have a BA and JD. Admitted to practice law in the State of Hawaii. Should have 4-6 years of relevant experience at a law firm and/or company law department. Demonstrated expertise, judgment, maturity, and productivity in independently handling significant matters in a fast-paced environment. Ability to think strategically, see the “big picture” and maintain close attention to detail and accuracy. Ability to work cooperatively and collaboratively in a team environment and with other departments and individuals throughout the company and externally. Superior communication and persuasive writing skills. Ability to travel to locations HA system-wide and other cities, domestic and international, as needed. Graduate of top tier law school is preferred. Business or in-house legal experience, ideally at an airline and/or public company is preferred. Subject matter expertise in one or more of the following areas Technology transactions and privacy regulations, Commercial transactions involving the maintenance, repair and overhaul of aircraft, aircraft engines and aircraft components, Aircraft financing transactions, and Commercial real estate transactions.
