ProfileSenior Paralegal The candidate will work closely with the General Counsel and other department attorneys, as well as cross-departmentally with business development, finance, accounting and human resources, on a wide variety of corporate matters including corporate governance, securities, subsidiary management and stock administration. Manage Section 16 filings. Assistance with corporate governance function including board of directors, committee and annual stockholder meetings, forms 10-K, 10-Q and 8-K, proxy statements and D&O questionnaires. Preparation and filing of certificates of incorporation/registration, annual reports, reinstatements, withdrawals. Litigation support, including management of legal document holds and gathering discovery materials. Support of mergers & acquisitions transactions including preparation for closing and collection and organization of due diligence materials. Management and administration of corporate files. Contribution to other department projects as needed. A Bachelor’s degree, paralegal certification preferred. Should have 5 years’ paralegal experience in a law firm or in-house legal department. Should have strong skills with Excel, Word, and Outlook are key. Experience with Apttus/Salesforce and EchoSign is a plus. Must have excellent verbal, written and presentation skills.
