Corporate Counsel - Contracts The candidate will develop, assess and negotiate contracts on non-disclosure, consulting, service, consignments, terms and conditions, statements of work, licenses and commercial documents for all business units. Review, markup/draft (from forms and from scratch) agreements. Ensure consistency of contract terms with company policies and goals. Provide rapid, practical, business-oriented legal/commercial contract advice directly to business clients. Support business clients in negotiating price, deliverables, services scope, warranty, indemnification, limitation of liability and other commercial terms. Apply innovative problem-solving skills and practical business judgment to maximize revenues or savings, minimize risk and foster long-term client relationships. Work with in-house attorneys, paralegals and company business units to develop contract strategies. Lead to review best practices to enhance contracts review processes. Collaborate with and facilitate cross-team decision-making among the legal team, business teams and other internal teams. Manage assigned projects to completion. All other duties as assigned. J.D. degree from an accredited law school required. Must be licensed to practice law in a US state or DC. 4+ years of relevant experience in a law firm and/or corporate legal department; in-house corporate legal department experience preferred. Experience negotiating commercial contracts and other experience demonstrating ability to handle and close commercial and legal negotiations is essential.
