Legal Contract Manager The candidate will review, revise and negotiate distributor agreements with customers across firm business unit product lines. Will work with Sales, Product Management, Marketing and Finance teams to create programs and form documents in connection with distributor and dealer incentive programs. Assist in the development, negotiation and execution of third party nondisclosure agreements, field test agreements, R&D agreements, and other product or project specific agreements. Negotiate commercial terms and conditions of contract with all manners of third party vendors for supply of services and goods to firm in compliance with internal Delegation of Authority and contract management guidelines. Review and assist in responding to bids and solicitations, assist in review of Government supply qualifications Maintain SAM (System for Award Management) Registration. Assist with tracking of customer and supplier compliance with firm compliance programs. Coordinate the issuance of insurance certificates, bonds, and letters of credit to satisfy contractual requirements and maintain insurance certificates for Vendors and Service Providers. Process, organize and ensures all supporting documentation is contained in the contract files. Participate in the development and implementation of procedures for contract management and administration as well as tools to enhance the process, throughput, document retention, and sharing of best practices. Perform contractual and administrative requirements that are complex and varied in nature, usually requiring some originality, ingenuity, and degree of technical skill. Establish priorities and works concurrently on a variety of projects. Bachelor's degree or certification in Paralegal Studies and strong legal contracts experience or any equivalent combination of education, experience, and training is needed. Should have 5+ years of experience. Prior experience managing legal contracts are needed. Experience contracting in the manufacturing industry is favorable. Proficiency in MS Office suite, SharePoint, Access and/or other enterprise document and file management tools are needed.
