Corporate Counsel The candidate will draft, review, and negotiate a variety of customer, business partner and vendor agreements, including master service agreements, statements of work, consulting agreements, NDAs, intellectual property license agreements, software as a service agreements, real estate leases, and technology contracts, and other service agreements. Will lead contract negotiations on complex transactions to support the business in meeting its goals and protecting the company's interests. Provide counsel to internal business teams to develop solutions to complex problems to mitigate risk and satisfy business goals. Review and determine appropriate insurance policies for corporate operations. Review and advise on financial documents. Monitor changes in applicable laws, prepare updates and communicate with relevant business leaders to keep them abreast of developments that might impact the business’ corporate policies and business processes. Work in partnership with the Human Capital team on any employment law or employee relations issues. Maintain (and build upon) the current legal documentation repository.
Qualification and Experience
The candidate should have a JD degree from a reputable law school. Should be a member of Indiana Bar in good standing. Doctorate or better in Law or related field essential. Must have 5-7 years of relevant experience either at a law firm or as in-house counsel. Very strong attention to detail along with strong analytical and computer skills essential. Exposure to US employment law and international business law would be beneficial.
