Associate Counsel and Generalist
The candidate will draft, review, negotiate and maintain records of a wide variety of agreements, both from vendors providing services to the organization, from new clients or partners receiving a variety of services from the organization (many of which are still being developed and defined), or from grant recipients. Will also researches various legal or regulatory matters related to the organization’s activities as a tax-exempt, nonprofit organization which has operated historically a student loan guarantor in the Federal Family Education Program and which now is focused primarily on developing programs and funding other tax-exempt organizations which help young people make post-high school education choices. Work with a variety of internal clients with varying needs and makes legal recommendations, works closely with business clients on specific projects, coordinates regulatory filings and registrations, assists with the business with litigation, and assists with the protection of the organization’s intellectual property assets. Act as a liaison between the legal department and a variety of internal business clients at all levels of the organization. Provide advice on program design, negotiate and draft program and funding agreements. Ensures that ASA’s legal status is protected through administration of regulatory filings, internal compliance with applicable laws, regulations and internal policy. Ensures business units follow corporate policies and meet legal requirements. Perform legal, regulatory and business issue research as requested and make recommendations (in writing). Assists General Counsel with customer complaints, research and management of external counsel, management of internal clients. Assists in preparing summaries of law, regulation and industry trends to educate corporate staff on issues that may arise. Advises on legal issues that may arise from proposed business transactions or activities. Serve as a legal representative and participant on various internal committees and strategic, operational, and cross-functional project teams, as assigned. Help to maintain records and filings. Works with the product development and other applicable ASA units on the development of new programs or relationships and the drafting, maintenance, and management of ASA’s services agreements. May train and counsel ASA personnel on general legal issues, as necessary. All other duties as assigned. Provides direct assistance, legal analysis and associated services to business units and clients in connection with the above. Coordinates provision or services and execution of responsibilities herein with the General Counsel and provides guidance, as necessary. Provides general organization and administrative support to the legal department, as needed. Manages the various projects in which the legal department is involved including keeping appropriate records of activities, filings, registrations and agreements. Works closely with General Counsel on various matters.

Qualification and Experience

The candidate must have 3+ years of related legal and business experience in a nonprofit (preferred), corporate or law firm setting, with duties encompassing the administration and management (preferred) of functions or specific areas. (Significant related business management experience in a non-legal capacity may be considered to meet this requirement.). Should have Bachelor’s degree (or equivalent). Must have JD degree from an accredited law school. Must have Admission to the Massachusetts Bar.
