Job Description: Job Title: Manager, Corporate Development Reports To: COO Position Location: Vernon Hills, IL FLSA Status: Exempt Position Summary: The Director of Merger and Acquisitions is primarily responsible for identifying, diligencing, negotiating, closing and integrating potential acquisitions globally. Responsibilities: - Manage broad based teams of peers and VPs who lead various operational functions in the development and formulation of industry, market, clinical / technical and, financial analyses, to support proposed investments and structure deals. - Coordinate due diligence and lead the negotiation of all terms for transactions including detailed contract language. - Build a solid acquisition target pipeline of companies; qualify and quantify potential targets - Present findings to executive team with validation scenarios - Forecast and due diligence the financial impact of the potential acquisition including the effects of acquisitions on current and future department level funding - Build, manage and execute merger integration plans and processes effectively - Performs other duties as assigned Qualifications: - Minimum BS/BA degree with a minimum of three (3) years’ experience in investment banking (Mergers and Acquisitions preferred); MBA or JD/MBA preferred - Minimum 3 years of work experience in a corporate development/strategy role or at a private equity firm (or private equity backed company) strongly preferred - Integration experience within last three (3) years - Meaningful product and professional experience in life sciences, test and measurement and/or laboratory products - Ability to build financial models (not just review models) - Experience in negotiated deals - Demonstrated success being able to interact with both internal and external parties; capable of presenting to our financing sources and Board - Foundational knowledge of legal issues that relate to corporate structure & transactional design. - Travel: 50% of the time This position has been approved for Relocation Assistance.
