Director, Transactional Law
The candidate will work within the Transactional Law Group with an emphasis on strategic transactions. Legal advisor on cross functional teams evaluating potential strategic transactions (including licensing, collaborations and M&A opportunities),responsible for the negotiation and drafting of related agreements and continuing support of such relationships, including interpretation and advice to applicable functional groups. Responsible for drafting, reviewing, interpretation, negotiation and execution of a full range of commercial contracts, in particular those relating to intellectual property rights. Identify and develop trusted adviser relationship with clients and stakeholders in order to influence without authority. Work creatively and analytically in a problem-solving environment to resolve issues, manage transactional risk and bring transactions to an acceptable close. Interfaces with external legal resources, as needed. Other responsibilities as assigned. Should have 10 years of relevant legal experience, including experience as in-house counsel and U.S.-based public company experience. Experience in a fast-paced, entrepreneurial environment is critical, as is ability to “roll up sleeves” and work in a hands-on manner, as well as provide legal leadership and guidance. Experience in the pharmaceutical/biotechnology industry is desired. Previous experience managing the work of others are required. Must have JD degree and active member of Washington State Bar Association or eligible to promptly register as in-house counsel.
