Senior Legal Analyst (Corporate & Securities) Duties: Working in corporate transactions, particularly including emerging companies, venture capital financings, mergers and acquisitions, stock option plans, and capital market transactions. Servicing a broad array of clients, including technology startups, emerging growth companies, and public companies, the Paralegal will enjoy a varied work experience. Will assist with handling venture capital financings, conduct blue sky research, coordinate state and federal securities, incorporation, merger and UCC filings, administer and implement stock option plans, and perform records management.

Qualification and Experience

Candidate must have a Bachelor’s degree, a Paralegal certificate or equivalent, and 10+ years of directly related work experience. Must have experience supporting VC financings and mergers and acquisitions, including working knowledge of corporate governance documents including minute books and closing binders. Knowledge of corporate minutes, capitalization tables, and stock option plan management software is a very strong plus (e.g. Corporate Focus and CapMX by Solium). Excellent computer skills are required including Microsoft Office (Excel, Outlook, PowerPoint and Word). A California Notary Public Commission is also a plus. Must demonstrate integrity, solid attention to detail, superior communication skills, and exceptional organizational ability. Flexibility and willingness to adjust to demanding needs and changing deadlines, as well as flexibility to work overtime, is needed.

I would like to advise management that they should create staff positions for long-terms and growth opportunities should be provided on the basis of merit.

Pros : Pay is above market average and perks are also good. Other positive things are Friendly staff, good benefits and nice working environment. The firm has a great culture that promotes diversity and inclusiveness, which is rare to find these days.
Cons : Poor management and lack of confidentiality within management. They expect you to work 12 hours a day and six days a week. So work-life balance is very poor and workload is very high.
