A law firm in Seattle, WA, is seeking a Mid-level Corporate M&A Associate Attorney with 4-6 years of experience in M&A and corporate transactions. The successful candidate will have substantial experience in mergers and acquisitions, private equity transactions, and private capital financing. This role offers the opportunity to work on complex transactions, take on direct responsibility for deal closings, and oversee junior associates. Key Responsibilities:

  • Mergers & Acquisitions (M&A):

    • Draft, review, and negotiate merger agreements, stock purchase agreements, asset purchase agreements, letters of intent, and other related transaction documents.
    • Oversee M&A deal closings, providing leadership and guidance to junior associates.
  • Private Equity Transactions:

    • Work on private equity transactions (buy-side and sell-side), including familiarity with Representations & Warranties (R&W) insurance.
    • Lead the preparation and negotiation of key transaction documents.
  • Private Capital Financing:

    • Prepare and negotiate documents for private capital financing transactions, including venture capital and angel capital equity financings, convertible debt, and SAFE financing transactions.
    • Conduct related securities law analysis and advise clients on regulatory compliance.
  • Corporate Agreements:

    • Review, analyze, and draft limited liability company (LLC) operating agreements, partnership agreements, buy-sell provisions, and joint venture agreements.
  • Due Diligence:

    • Coordinate, conduct, and manage due diligence reviews for M&A and private equity transactions.
    • Oversee the work of junior associates involved in due diligence processes.
  • Corporate Governance & Entity Management:

    • Advise clients on general corporate and entity matters, including drafting board and stockholder resolutions, equity plan award documentation, and addressing cap table issues.

Job Requirements:

  • Experience:

    • 4-6 years of relevant experience in M&A and corporate transactions, with a strong focus on drafting, negotiating, and closing complex deals.
    • Experience with private equity transactions and private capital financings (venture capital, angel capital, convertible debt, SAFE financing) is preferred.
    • Proven ability to take substantial responsibility for closing deals and managing transactions.
  • Skills:

    • Strong knowledge of corporate transaction structures, securities law, and M&A legal frameworks.
    • Excellent drafting, negotiation, and communication skills.
    • Ability to lead and mentor junior associates.
    • Strong organizational and project management skills to handle multiple deals simultaneously.
  • Bar Admission:

    • Active admission to the Washington State Bar or eligibility to become admitted.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active Washington State Bar license (or the ability to obtain one).

Preferred Skills:

  • Familiarity with Representations & Warranties (R&W) insurance.
  • Experience managing teams and coordinating due diligence processes.
  • Strong understanding of securities law and corporate governance.
