Contracts Manager The candidate works closely with the members of the Legal team and program managers on contract negotiation, program change order analysis and support, research, compliance, contract management, litigation data gathering, templates and special projects. Manages programs, ensuring programs are performed and delivered according to contract requirements and intellectual property licenses. Develops customer relationships, managing risk mitigation plans, as directed, through working closely with the program execution teams Maintains strong customer relationships through regular contact with existing customers on the phone and in person Works with Program Management and Client Services to develop and sell change orders, recommends spares parts and post-delivery services, makes recommendations to customer and ultimately contracts such efforts Assists the Sales Team in meeting with, and developing capture strategies and proposals Reviews proposals and change orders with Sales/Program Management (PM) Teams and applies appropriate assumptions; assists in price justification as needed; identifies areas of risk and proposes risk mitigation language to upper management and team members Works with management to develop negotiation ground rules/boundaries; within the established boundaries, negotiates price, schedule, milestone payments and other contract terms in support of follow-on contracting efforts (e.g., Amendments, Change Orders (“CO”), etc.) on active programs Ensures contract terms and conditions are flowed down, understood and tracked appropriately, to PM, Supply Chain Management (SCM), Engineering, Operations, and other applicable internal departments to ensure contract compliance and profitable execution Develops and manages data-development tracking systems ensuring internal departments populate system with relevant data to assert costs/impacts to customers when contract allows for it Ensures CO’s, contracts letters, Amendments and any binding Customer communication language aligns with contracts defined terms Manages contract through life of program and works with internal organizations to ensure compliance and/or obtain contract revisions to reflect scope growth, including associated costs, weight, sound, and schedule impacts Manages mitigation plan(s), as directed, through completion, tying in relevant parties as necessary Manages Kick-off Meetings, with Sales and PM focals, for new programs; communicates areas of risk and mitigations plans that require team support Conducts and supports meetings with Customer and PM on Customer issues that arise during the life of the program Tracks program and CO concessions for final invoice and re-delivery tracking Works closely with Client Services in support of warranty administration, closing out delivery commitments and overseeing Warranty Log management in support of contractual compliance Proactively identifies issues, and subsequently works with PM, Director of Contracts and General Counsel to develop appropriate contractual messaging; assess contractual need for and send when necessary formal Customer correspondence Drafts and negotiates Service Requests and/or Service Bulletins, and attends relevant program-related meetings Manages program milestones to ensure contractual compliance and works with Program Management and Sales/Contracts Administrator to approve invoices, directing Finance to invoice once approved; elevates those at risk to management Ensures aircraft redelivery is conducted in accordance with contractual terms and conditions, and manages contracting with redelivery service providers as needed such as, but not limited to, for pilots, fuel, fixed base operators, and tax exemption Drafts and analyzes licensing, joint development, asset purchase and sale, employment, confidentiality, consultant, customer and supplier agreements; negotiates and reviews dealership agreements for Greenpoint and subsidiaries Performs administrative and legal work and conducts due diligence research by reviewing company and subsidiary contracts Drafts PIA/NDAs with potential business partners and program related vendors as assigned Files annual reports with the Secretary of State for company and its subsidiaries Submits supplier certifications and representations as needed for company and its subsidiaries, and leads in supplier contract negotiations and drafting Drafts contract, demand, termination, and cease and desist letters for company and its subsidiaries Prepares and maintains contract templates and form agreements, and manages and maintains contractual chronologies on all assigned programs Actively participates in weekly Legal coordination meetings to identify and mitigate risk exposure Performs patent and trademark prosecution paralegal services for General Counsel Coordinates the gathering of information, materials, documents, reports and evidence necessary to respond to discovery, and overall litigation management Manages all Greenpoint insurance policies, conducts gap analysis periodically and project-specific insurance analysis and serves as Greenpoint insurance interface to Zodiac Aerospace Conducts program export control compliance analysis and works with internal departments to gather information in support of the export control analysis Conducts legal research and analyzes case law in all areas of contract law, and assists General Counsel in developing and publishing legal policies such as FCPA and trade secret policies Mentors subordinates to ensure flow down of Lessons Learned and knowledge transfer Acts as a back-up to key team members as requested Contributes to a positive work atmosphere by displaying Green Behaviors and communication focused on building effective working relationships with customers, clients, co-workers and management Maintains regular attendance including being at work, being on time to work, logging in hours timely, and working full shifts Other duties as assigned.

Qualification and Experience

The candidate should preferably have BA/BS degree from accredited college or university with 2+ years’ experience in Contracts Management and 4+ years’ experience in the Aerospace industry , or equivalent combination of education and experience. Aircraft interior industry experience is a plus. Paralegal or legal education is preferred. Industry knowledge of ISO 9001 initiatives and processes preferred.
