The candidate will be responsible for contract intake process and maintenance of same. Serve as main liaison with Enterprise Vendor Management on contract review procedures and contract intake process. Coordinate with clients to compile information necessary for informed contract review, including, but not limited to, identification of applicable business terms, pricing and details regarding vendor services. Coordinate with clients to ensure required approvals from Finance, IT and InfoSec have been obtained prior to contract engagement. Active participation in meetings related to contract engagement and technology deals, as necessary. Responsible for preparation, updating and maintenance of form agreements. Utilize independent judgment and discretion in order to generate redline/drafts of various agreements, including, but not limited to, Work Orders, Statement of Services, Services Agreements, Software Licenses, Consulting, Staffing Agency, and Confidentiality,. Assist assigned attorney in progressive redlines while in the contract negotiation phase. Negotiate terms and conditions with third parties during the contract review/revision process. Liaison between in-house and outside counsel for contract assignments and various projects. Supervise updating and maintenance of LawBase contracts database. Utilize independent judgment and discretion in order to assist attorneys with finalizing and formatting of agreements in preparation for execution. Timely follow through on all work assignments, including, but not limited to, unexecuted and finalized agreements, special projects assigned by attorneys, various client requests. Coordinate with various Executive Staff, Associates, counsel and outside counsel in obtaining fully executed originals of agreements for legal records and distributing copies as necessary. Provide status reports to attorneys and associates assigning projects. Draft and coordinate preparation of quarterly reports for Executive Management. Oversee file retention program. Provide assistance in the assembly and organization of due diligence materials, as needed. Answer rollover phones for attorneys. Process Corporate mail and other correspondence. Type letters, memos, reports and other various correspondences, if necessary. Assist with Corporate mailings. Provide back-up corporate paralegal assistance for Legal Department.

Qualification and Experience

A Paralegal Certificate required. Notary Public is desirable. Real estate-related experience a plus. Should have extensive knowledge of contract provisions and an understanding of their impact on Company interests. Must have strong contract drafting and negotiation skills. Should preferable have strong interpersonal and communication skills. should have experience in a wide variety of practice areas who has a strong business acumen and the demonstrated ability to develop, implement and manage policies and procedures.
