Counsel - Commercial and Payments Duties: Advising and negotiating agreements related to payment systems, payment processors, financial services, financial instruments. Structure, draft, and negotiate complex commercial agreements with customers, partners, vendors, and various third parties. Advising on laws and regulations related to payments and banking, including Reg. E, NACHA, PCI, etc. Respond to regulatory and contract-related inquiries and provide guidance as a subject matter expert. Provide advice and counsel to Treasury, Finance, Tax, Risk, Corporate Development Strategic Sourcing, Merchandising, Manufacturing, Own Brands, on all aspects of commercial law. Perform legal and regulatory research in support of business initiatives. Identify and evaluate contractual and legal risks of business opportunities and consult with relevant subject matter experts; suggest alternatives that lead to optimal work cross-functionally with sales, finance, and operations teams to ensure that contractual terms are compliant with legal, regulatory, and company policies and risk preferences. Work cross-functionally to develop commercial models (including defining and drafting the relevant terms and conditions). Establish trusted advisor relationships with leadership teams across the organization. Handle additional assignments and responsibilities as needed. Communicate with external counsel(s), as needed, during the contract negotiation process and/or other legal dossiers. Perform contract administration functions including assisting with obtaining approvals on authorization forms as required; maintaining a contract tracking system to report contract status updates and signing status; providing notice of all executed contracts to the appropriate team members along with contract values; and filing executed contracts in the shared electronic storage area in a timely manner for access by other staff members as appropriate. Advise, counsel, and actively participate in the development of corporate procedures, practices, and systems that support business objectives, mitigate risks, and facilitate a culture of compliance including develop and present training on legal issues. Guide internal teams in standardizing contracts. Support the Company's diversity objectives. Respond to attorney demand letters and negotiate early resolution of commercial disputes. Advanced level contract drafting and negotiation skills. Corporate initiatives (payment systems and programs, M & A, legal due diligences) as assigned including transaction support. Bring and maintain the legal in-housekeeping at diligence-able level.

Qualification and Experience

Qualifications: JD Degree with stellar academic credentials. 4-8 years of experience as a U.S.-licensed attorney, in-house experience preferred. Demonstrated experience with contract management principles. Excellent communication skills are required as well as demonstrated ability to interact with internal and external clients with tact and discretion. Highly organized with excellent time management skills. Self-starter capable of identifying challenges, responding to issues, and implementing effective solutions with limited supervision. Sound judgment in identifying risks, developing solutions, and implementing successful strategies to mitigate risk while achieving the organization’s commercial goals. Ability to maintain confidentiality of information during interactions with staff at all levels. Able to be proactive and take initiative in completing work or escalating issues.
