Profile

Corporate Paralegal The candidate must be able to work independently to draft modifications to company template agreements and to work with legal counsel on unique agreements. Should have right combination of technical skill, good judgment and common sense to resolve complex issues. Responsibilities: Create client specific consulting agreements, material transfer agreements, master services agreements (and related scopes of work), clinical trial agreements, and sponsored research agreements from templates for firm’s core business units; Manage the negotiation and revision process to conclude agreements as efficiently as possible while meeting client needs and safeguarding firm’s interests; Monitor and track continued compliance under executed agreements; Build relationships of trust with legal and other executive level client contacts during the negotiation process; Assist license and collaboration deals, including due diligence, closing, and post-closing support; Provide general corporate support as needed, including help with annual stockholder meeting, proxy, and Board minutes; Assist with the implementation and administration of firm’s healthcare compliance program; Answer internal questions about executed agreements; Other duties as assigned.

Qualification and Experience

Should possess Bachelors Degree and Massachusetts Paralegal Certificate having 5+ years experience supporting life sciences companies as a paralegal. Stock administration experience is desired but not required. Should have significant experience drafting, negotiating, and managing the following agreements for life sciences companies: consulting agreements, material transfer agreements, master services agreements (and related scopes of work), clinical trial agreements, and sponsored research agreements. In addition, the ideal candidate should have experience with corporate governance matters, including drafting Board minutes and resolutions, proxy statements and stockholder meetings, and compliance program experience.
