Assistant General Counsel The candidate will help support rapid, sustainable global growth at exciting technology company. Will be primarily responsible for corporate and securities matters, will play a key role in external reporting activities, including SEC reporting and internal financial and metrics reporting. Will partner closely with the General Counsel to support strategic transactions, such as mergers and acquisitions. In this dynamic role, will also help to support company’s equity and insurance programs, and provide counsel in other substantive areas as needed.
Qualification and Experience
The candidate should be a graduate of an accredited law school with at least 8+ years of relevant experience, ideally with in-house experience at a public company. Must have significant experience coordinating securities filings, corporate governance, and M&A transactions. Must be active member of a state bar and in good standing. Should have experience handling public company compliance matters, including SEC disclosures, proxy drafting, compliance policies and insider trading management. Must have ability to assist with Board matters, including meeting agendas, calendars, new Board member on-boarding, meeting materials, and other Board communication. Knowledge to support M&A and other strategic investment transactions, including deal structure, diligence, negotiation and managing outside counsel is required. Should have understanding to ensure that the company’s insurance program adequately accounts for its growth and risk.
