Boston office of a BCG Attorney Search Top Ranked Law Firm seeks mid-level to senior finance associate attorney with 3-7 years of law firm experience representing banks, non-banks, lenders, agents, borrowers, private equity sponsors, public and private companies, impact lenders and companies in a broad range of domestic and cross-border/international finance transactions, including: senior secured, mezzanine and subordinated debt transactions; structured finance; debt facilities for fintech and biotech companies and lenders; acquisition finance; loan workouts and restructurings; impact and ESG lending transactions and other related transactions. The candidate will be drafting, editing, and reviewing a variety of documents, including: loan agreements, security and guarantee documentation, intercreditor and subordination agreements, commitment papers, purchase and sale agreements for warehouse financings, servicing agreements and closing documentation such as certificates, resolutions and opinions. Will be managing component parts of a financing transaction, including structuring, documentation and closing. Collaborating with tax, regulatory, intellectual property, corporate (M&A) teams and other specialists on the structuring and documenting of financing transactions. Should preferably have experience with asset-based lending, warehouse financing and other leveraged finance (including in the context of mergers and acquisitions (industry-agnostic), and/or experience or an interest in blockchain and cryptocurrency financing transactions. Other debt finance experience will be considered. Bar Admission in MA essential.
