A law firm seeks a highly skilled and motivated mid to senior-level corporate associate to join its New York office. This role is ideal for a candidate with 5-7 years of experience working on complex private equity, leveraged buyout transactions, mergers & acquisitions, and general corporate matters. The successful applicant will have experience in high-stakes deals, strong technical knowledge, and an entrepreneurial mindset. Duties:

  • Handle complex private equity and leveraged buyout M&A transactions.
  • Advise clients on a wide array of corporate matters, including mergers, acquisitions, corporate governance, and financing.
  • Lead and participate in negotiations for multi-million-dollar deals.
  • Draft and review key legal documents, including purchase agreements, shareholder agreements, and corporate governance documents.
  • Manage client relationships with a focus on providing timely and strategic advice.
  • Work closely with senior attorneys and other practice groups to develop case strategies.
  • Oversee and mentor junior associates, guiding them in transaction management and legal drafting.
  • Stay updated on industry trends and regulatory changes relevant to private equity and M&A transactions.

Requirements:

  • 5-7 years of experience in private equity, M&A, and corporate law.
  • Proven experience handling complex transactions, including leveraged buyouts and acquisitions.
  • Strong negotiation and drafting skills.
  • Excellent communication skills, both written and verbal, with the ability to explain complex legal concepts to clients.
  • Ability to work independently and manage multiple high-priority matters simultaneously.
  • Strong business acumen and the ability to think strategically in a fast-paced environment.
  • Commitment to providing exceptional client service and fostering strong client relationships.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Superior academic credentials, including top-tier law school performance.

Certifications:

  • Admission to practice law in the state of New York.

Skills:

  • Extensive knowledge of private equity, mergers & acquisitions, and corporate governance.
  • Expertise in structuring and negotiating complex M&A deals, leveraged buyouts, and related transactions.
  • Proficient in drafting legal documents and conducting legal research.
  • Strong leadership skills with the ability to guide and mentor junior attorneys.
  • Ability to handle high-pressure situations and tight deadlines with ease.
  • Excellent interpersonal and client management skills.
  • Bilingual skills are a plus but not required.
