Temporary Contract Negotiator The candidate will negotiate and draft agreements. Will structure, draft and negotiate complex SaaS contracts, on-premise software product agreements, vendor contracts, professional services agreements, NDAs, and the like. Work with company's order desk to ensure that forms and processes capture and communicate necessary legal and commercial terms. Negotiate and draft data processing agreements. Assess issues regarding and work with other departments to manage and resolve contract disputes. Possibly review contracts and other documents for M&A due diligence activities. Work closely with Sales reps, Professional Services personnel, order desk staff, and others in the deal and contract cycle. Establish rapport and a working relationship with management at all levels to encourage and continue the proactive use of in-house legal resources. Develop an understanding of and familiarity with the company's business, its people, products, markets, customers and partners in order to identify trends and formulate effective strategies.

Qualification and Experience

The candidate should have excellent academic credentials. Should have J.D. degree and California Bar membership OR a paralegal certificate. Must have 5+ years of in-house legal experience negotiating and drafting software and other contracts, from the licencor side, such as amendments, contract extensions, addendums, NDAs, and the like. Experience in SaaS and/or subscription-based business a strong plus. Substantial experience in drafting commercial contracts and templates and serving as lead negotiator and drafter for complex transactions with enterprise customers is required. Prior knowledge of GDPR and related compliance, and experience negotiating and drafting DPAs, a plus. Prior experience with a technology company (with international operations a plus) is needed. Must have significant in-house experience. Experience negotiating and drafting data privacy agreements (DPAs) a plus.

Note: This is a full-time temporary position (1-3 months) with the potential to fill on a part-time, ongoing basis as needed.
