Job Description

SCOPE:

The Associate General Counsel handles the full range of legal issues affecting Caliburn and will have primary responsibility for 1) matters involving compliance with export laws and 2) the corporate ethics and compliance program. This position will report directly to the Company's General Counsel and Chief Administrative Officer. This position will assist the General Counsel and Chief Administrative Officer in advising the company on the full range of corporate legal matters.

DUTIES AND RESPONSIBILITIES:

  • Implements, refines, and exercises oversight on company-wide export-compliance policies and procedures, including compliance with ITAR and EAR.
  • Implements, refines, and exercises oversight on the corporate ethics and compliance program, to include establishing company-wide policies, issuing routine ethics and compliance communications, and conducting training.
  • Advises the Company on matters involving the negotiation of, performance on, and compliance with the terms and conditions of Federal government contracts.
  • Provides legal oversight, solutions-oriented guidance, and recommendations to Senior Management on all legal matters affecting the Company.
  • Ensures the legal rights of the Company are protected, its legal obligations and potential exposures and risks are well defined and understood by management, and that the Company complies with applicable laws and regulations.
  • Establishes and maintains effective working relationships and support for business units and provides appropriate guidance and advice as necessary.
  • Manages outside counsel, in the US and internationally, including for litigation matters to include commercial and employment-law disputes.
  • Interacts with regulators, government counsel, and government investigators on issues related to compliance with applicable law and regulation.
  • Supervises and conducts privileged internal investigations.
  • Reviews and negotiates Company contracts.
  • Crafts solutions to legal and regulatory issues in compliance with Federal, State, and international laws and regulations.
  • Identifies proactive solutions that will eliminate or mitigate legal and business risks.
  • Bases decision-making process on ethics and integrity.
  • Deals with complex, significant matters in multiple disciplines with competing priorities.
  • Ensures compliance with company policies and procedures.

OTHER DUTIES:

  • May lead or participate in interdepartmental project groups or task forces to integrate activities, communicate issues, obtain approvals, resolve problems and maintain a specific level of knowledge pertaining to new developments, new task efforts, contract awards, and new policy requirements.
  • Travel as necessary between Caliburn Headquarters (Reston, VA) and subsidiary offices in Cape Canaveral, FL, Atlanta, GA, and Lenoir City, TN, as well as to domestic and international business and client sites.
  • Travel approximately 25%.
  • Assists in the active implementation of company initiatives to ensure compliance with OSHA VPP, ISO, JCAHO, AAAHC, and other mandated regulations or standards.

Job Requirements

QUALIFICATIONS:

  • Juris Doctor or equivalent degree from an accredited institution
  • Member in good standing of a bar association in a US jurisdiction, and, if not a member of the Virginia State Bar, able to attain admission to the Virginia State Bar Corporate Counsel Section
  • Extensive expertise in export control laws, including the International Traffic in Arms Regulations (ITAR), and Export Administration Regulations (EAR)
  • Experience in implementing and leading corporate ethics and compliance programs
  • Experience conducting and supervising internal investigations
  • Experience with US federal contracting matters, including solid working knowledge of the Federal Acquisition Regulation (FAR) and agency FAR supplements
  • Minimum of ten years relevant post-JD experience
  • Have three years’ experience at a law firm and/or in a corporate law department.
  • Exhibit excellent business judgment and strategic thinking capability; hard working, well organized and possess the ability to work in a team and manage multiple projects simultaneously under deadlines.
  • Competent in providing legal and, as appropriate, business counseling with respect to new and existing ventures.
  • Proven ability to lead a large, multifaceted workforce through frequent change.
  • Excellent oral and written communication and presentation skills.
  • Exceptional analytical, organizational and problem-solving skills.
  • Demonstrated skills in project management, contract negotiation, and employee development.
  • Must have experience in successfully working with, and leading, integrated teams, and using current business management principles.

PREFERRED QUALIFICATIONS:

  • Experience working in-house as a generalist, including managing and advising on employment matters
  • Experience managing outside counsel, including for litigation matters
  • Current security clearance and up-to-date single-scope background investigation
